PT Jamafac commenced its journey in 1949, founded by Wong See Kwong through Deed of Establishment No. 101 dated 20 December 1949, executed before K.E. Krijgsman, S.H., Notary in Jakarta. From its inception, the Company was built upon a strong foundation of quality, professionalism, and a vision for multigenerational business sustainability.
In 1971, as part of its early commitment to international standards, PT Jamafac entered into a technical collaboration with Swedish Match—a partnership that endures to this day. This strategic alliance represented a pivotal milestone, enabling the Company to strengthen its production capabilities, accelerate technology transfer, and enhance operational excellence.
Building on this long-standing relationship, Swedish Match deepened its strategic involvement in PT Jamafac during the 1990s and formally became a shareholder of the Company. This development marked an important step toward a closer corporate partnership, which was later formalized through a joint venture arrangement. As recorded in the Deed of Minutes of Meeting No. 164 dated 28 December 1994, drawn up before Rizam Fadilah Tajudin, S.H., Substitute Notary in Jakarta, the shareholder structure at that time comprised 14 individual shareholders alongside Swedish Match as a strategic shareholder.
In response to the evolving regulatory landscape, the Company undertook adjustments to its Articles of Association following the enactment of Law No. 1 of 1995 concerning Limited Liability Companies. These changes, documented in Deed of Statement of Meeting Resolutions No. 26 dated 22 November 1995, executed before Pahala Sutrisno Amiyojo Tampubolon, S.H., Notary in Jakarta, reflected PT Jamafac’s continued commitment to regulatory compliance while maintaining its established ownership structure, including the participation of Swedish Match prior to the formalization of the joint venture partnership in 1999.
With the introduction of Law No. 40 of 2007, the Company again aligned its corporate structure with the new legal framework. As outlined in the Deed of Statement of Circular Resolution No. 10 dated 7 December 2007, drawn up before Irene Yulia, S.H., Notary in Jakarta, the number of shareholders increased to 17 individuals, and Swedish Match was no longer recorded as a shareholder—marking a new chapter in the Company’s ownership evolution.
